DegDitor CMS – End User License Agreement (EULA)

This End User License Agreement (the "Agreement") is a legal agreement between you (the "Licensee") and Fifty Deg Srl SB (the "Licensor"), governing the use of the DegDitor CMS plugin ("Software"). By installing, copying, or using this Software, you agree to be bound by the terms of this Agreement.
1. LICENSE GRANT
1.1 Scope
Licensor grants Licensee a non-exclusive, non-transferable, revocable license to install and use the Software on a single domain and all its subdomains, plus local development environments, subject to the terms of this Agreement.
1.2 Domain Restriction
- The Licensee may use the Software only on one registered domain (e.g., example.com) and all its subdomains (e.g., store.example.com, staging.example.com).
- The Software may also be used on local development environments (e.g., localhost, example.local) without requiring an additional license.
- If the Licensee intends to use the Software on multiple domains, additional licenses must be purchased.
1.3 Usage Restrictions
- The Licensee may not distribute, sublicense, resell, rent, lease, or lend the Software.
- The Licensee may not modify, decompile, reverse-engineer, or disassemble the Software, except as permitted by law.
- The Software may only be used for legal purposes in compliance with all applicable laws and regulations.
2. PAYMENT AND ACTIVATION
2.1 License Fee
The Licensee must pay the applicable license fee before using the Software.
2.2 Activation
The Software may require activation via a license key. Unauthorized use of the Software without a valid license key is prohibited.
2.3 Subscription and Renewals
If the Software is provided as a subscription, continued access and updates depend on timely payment of renewal fees.
3. SUPPORT AND UPDATES
3.1 Support
Licensor provides limited technical support for the Software as specified in the purchase terms.
3.2 Updates and Upgrades
Licensor may provide updates, patches, or new versions at its discretion. Licensee is entitled to updates only within the purchased license period.
4. INTELLECTUAL PROPERTY
4.1 Ownership
The Software and all related intellectual property rights remain the exclusive property of Licensor. This Agreement does not grant the Licensee any ownership rights.
4.2 Attribution
The Licensee may not remove or alter any copyright, trademark, or proprietary notices from the Software.
5. TERMINATION
5.1 Termination by Licensee
The Licensee may terminate this Agreement by ceasing all use of the Software and deleting all copies.
5.2 Termination by Licensor
Licensor may terminate this Agreement if the Licensee breaches any term. Upon termination, the Licensee must cease using the Software and destroy all copies.
5.3 No Refunds
License fees are non-refundable, except as required by applicable consumer protection laws.
6. DISCLAIMER OF WARRANTIES
6.1 "As-Is" Basis
The Software is provided "as is" without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.
6.2 No Guarantee of Performance
Licensor does not guarantee that the Software will be error-free, uninterrupted, or meet the Licensee’s specific requirements.
7. LIMITATION OF LIABILITY
7.1 Exclusion of Damages
In no event shall Licensor be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, data loss, or business interruption.
7.2 Liability Cap
Licensor’s total liability under this Agreement shall not exceed the amount paid by Licensee for the Software in the preceding 12 months.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1 Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Italy, without regard to conflict of laws principles.
8.2 Dispute Resolution
Any disputes arising under this Agreement shall be settled through negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Milan, Italy.
9. MISCELLANEOUS
9.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.
9.2 Amendments
Licensor reserves the right to modify this Agreement. Continued use of the Software after modifications constitutes acceptance of the revised terms.
9.3 Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By using the DegDitor CMS plugin, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
